Convertible Debt

Convertible debt is a great option to a lender.  Should the company wind up in bankruptcy, the lender has preference over shareholders.  If the company is going to be acquired, the lender can convert the debt to common, with the expectation of gaining a larger profit than simply having their loan paid off.
